Prohibited Activities and Behaviors

You expressly agree not to:

1. Use our services for any unlawful purpose or to facilitate violation of any laws or regulations.
2. Transmit any content that is abusive, threatening, defamatory, obscene, or otherwise objectionable.
3. Attempt to gain unauthorized access to our systems, networks, or user accounts.
4. Upload or distribute viruses, malware, or any code designed to damage or disrupt our services.
5. Engage in any form of harassment, discrimination, or hate speech directed at other users.
6. Reproduce, duplicate, copy, sell, or exploit any portion of our services without express written permission.
7. Impersonate any person or entity or falsely represent your affiliation with any person or entity.
8. Collect or harvest information about other users without their explicit consent.

Content Guidelines and Restrictions

Any content you submit, upload, or share through our services must comply with the following guidelines:

• Content must be relevant to professional development and management training topics.
• Content must not infringe upon the intellectual property rights of others.
• Content must not contain false, misleading, or deceptive information.
• Content must not promote illegal activities, violence, or discrimination.
• Content must not contain confidential or proprietary information belonging to third parties without authorization.

Age Restrictions and Requirements

Our services are intended for individuals who are at least 18 years of age. If you are under 18 but at least 13 years old, you may use our services only with the involvement and consent of a parent or legal guardian. Children under 13 are not permitted to use our services. By using our services, you represent and warrant that you meet these age requirements.

Disclaimer of Warranties

5. Specific results or outcomes from participation in our training programs.

We disclaim all warranties of merchantability, fitness for a particular purpose, and non-infringement to the maximum extent permitted by law.

Limitation of Liability

To the maximum extent permitted by applicable law, LeadPath shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or business opportunities
• Loss of data or information
• Business interruption
• Loss of anticipated savings
• Damage to reputation
• Any other intangible losses

Our total aggregate liability for all claims arising from or related to our services shall not exceed the amount you paid to LeadPath for the specific service giving rise to the liability during the twelve months preceding the claim.

Consequential Damages Exclusion

In no event shall LeadPath be liable for any consequential, indirect, exemplary, incidental, special, or punitive damages arising from your use of or inability to use our services, even if we have been advised of the possibility of such damages. This limitation applies regardless of the legal theory upon which the claim is based, whether in contract, tort, negligence, strict liability, or otherwise.

Force Majeure Provisions

LeadPath shall not be liable for any failure or delay in performing our obligations under these Terms and Conditions if such failure or delay is due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, equipment failures, or telecommunications infrastructure failures.

Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of, without regard to its conflict of law provisions. Any legal action or proceeding arising from or related to these terms or our services shall be brought exclusively in the courts located in Tokyo, and you consent to the personal jurisdiction of such courts.

Dispute Resolution Procedures

In the event of any dispute, controversy, or claim arising from or relating to these Terms and Conditions or our services, we encourage you to first contact us to seek an informal resolution. Many disputes can be resolved quickly and amicably through direct communication.

If informal resolution is unsuccessful within thirty days, either party may pursue formal dispute resolution through the courts identified above. You agree to make reasonable, good-faith efforts to resolve disputes before initiating legal proceedings.

Severability Clause

If any provision of these Terms and Conditions is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its intent. If modification is not possible, the provision shall be severed from these terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision, and the remaining provisions shall continue in full force and effect.
