  • Business interruption
  • Loss of anticipated savings
  • Damage to reputation
  • Any other intangible losses

Our total aggregate liability for all claims arising from or related to our services shall not exceed the amount you paid to LeadPath for the specific service giving rise to the liability during the twelve months preceding the claim.

Consequential Damages Exclusion

In no event shall LeadPath be liable for any consequential, indirect, exemplary, incidental, special, or punitive damages arising from your use of or inability to use our services, even if we have been advised of the possibility of such damages. This limitation applies regardless of the legal theory upon which the claim is based, whether in contract, tort, negligence, strict liability, or otherwise.

Force Majeure Provisions

LeadPath shall not be liable for any failure or delay in performing our obligations under these Terms and Conditions if such failure or delay is due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, equipment failures, or telecommunications infrastructure failures.

These Terms and Conditions shall be governed by and construed in accordance with the laws of, without regard to its conflict of law provisions. Any legal action or proceeding arising from or related to these terms or our services shall be brought exclusively in the courts located in Tokyo, and you consent to the personal jurisdiction of such courts.

In the event of any dispute, controversy, or claim arising from or relating to these Terms and Conditions or our services, we encourage you to first contact us to seek an informal resolution. Many disputes can be resolved quickly and amicably through direct communication.

If informal resolution is unsuccessful within thirty days, either party may pursue formal dispute resolution through the courts identified above. You agree to make reasonable, good-faith efforts to resolve disputes before initiating legal proceedings.

Severability Clause

If any provision of these Terms and Conditions is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its intent. If modification is not possible, the provision shall be severed from these terms.
